Terms of Service

1. Acceptance of Terms

By accessing or using the Tax Allstars website (taxallstars.com) or any services offered by Brokentoy LLC under the Tax Allstars brand (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

These Terms constitute a legally binding agreement between you and Brokentoy LLC, a California limited liability company. Use of the Services by an organization means that organization agrees to these Terms on behalf of itself and all users accessing the Services under that account.

2. Services Description

Tax Allstars, operated by Brokentoy LLC, provides administrative coordination and case management services only. These services include:

• Intake collection and case file creation
• Document collection, organization, and secure vault management
• Matching clients with independently licensed tax professionals
• Case tracking, milestone management, and status communication
• General educational information about IRS resolution options

Brokentoy LLC is not a tax firm, CPA firm, accounting firm, or law firm. Brokentoy LLC does not hold any tax practitioner license. All tax advice, tax return preparation, and IRS representation are provided exclusively by independently licensed Enrolled Agents, Certified Public Accountants, or tax attorneys who are engaged in a separate professional relationship with the client.

3. No Tax Advice — Important Disclaimer

Submitting an intake form, paying a coordination fee, or engaging our services does not create a tax advisory relationship, attorney-client relationship, or accountant-client relationship between you and Brokentoy LLC or Tax Allstars. Such professional relationships are created only between you and your assigned licensed professional through the Professional Engagement Letter.

4. Relationship with Licensed Professionals

Licensed professionals (Enrolled Agents, CPAs, and tax attorneys) who provide services through our coordination platform are independent contractors, not employees of Brokentoy LLC. Brokentoy LLC does not control the professional judgment, advice, or actions of licensed professionals in their provision of tax services.

Your professional relationship — including all tax advice, strategy decisions, and IRS representation — exists exclusively between you and your assigned licensed professional. Brokentoy LLC is not a party to that professional relationship and assumes no professional liability for the licensed professional's work.

Brokentoy LLC requires all network professionals to maintain current professional licensure and errors-and-omissions (E&O) insurance. However, Brokentoy LLC makes no guarantee, warranty, or representation regarding the quality, accuracy, or outcome of any professional's services.

5. User Eligibility

The Services are available to individuals who are 18 years of age or older and who are seeking assistance with their personal or business federal tax matters. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and complete.

6. Intake Information and Data

By submitting an intake form or providing information through our Services, you represent that the information is true, accurate, and not misleading. You authorize Brokentoy LLC to store this information in a secure vault and share it with your assigned licensed professional as described in our Privacy Policy and consistent with your Section 7216 consent.

You acknowledge that the intake form is an administrative intake tool only. Responses from Brokentoy LLC staff to your intake do not constitute tax advice. All tax-related questions will be directed to your assigned licensed professional.

7. Fees and Payment

Service fees are disclosed in your Client Services Agreement prior to any payment. Fees include two separately disclosed components: an administrative coordination fee earned by Brokentoy LLC, and a professional services fee disbursed to your assigned licensed professional.

Payment is due as specified in your Client Services Agreement. Brokentoy LLC uses third-party payment processors; by providing payment information, you agree to the payment processor's terms. Brokentoy LLC does not store complete credit card information.

8. Refund and Cancellation Policy

Administrative coordination fees are earned on a milestone basis as specified in your Client Services Agreement. Earned fees are non-refundable. Unearned fees — those attributable to milestones not yet reached — are refundable upon written request and case termination, subject to any deductions for reasonable administrative costs incurred.

Professional services fees are governed by the refund and cancellation terms in your Professional Engagement Letter with your assigned licensed professional. Brokentoy LLC does not control refund decisions for professional services fees.

No refunds are provided for outcomes — tax resolution programs have no guaranteed outcomes, and fees are earned for services performed, not results achieved.

9. User Conduct

You agree not to use the Services to: (a) provide false or misleading information, (b) impersonate any person or entity, (c) engage in any fraudulent activity, (d) attempt to circumvent our security measures, (e) interfere with the Services or other users' access to the Services, or (f) use the Services for any unlawful purpose.

10. Intellectual Property

All content on the Tax Allstars website — including text, graphics, logos, design, and educational materials — is the property of Brokentoy LLC or its licensors and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Tax Allstars and the Tax Allstars logo are service marks of Brokentoy LLC. Brokentoy LLC is a registered California LLC.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BROKENTOY LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

BROKENTOY LLC MAKES NO WARRANTIES REGARDING THE QUALITY, ACCURACY, OR OUTCOME OF ANY LICENSED PROFESSIONAL'S SERVICES. TAX RESOLUTION OUTCOMES DEPEND ON INDIVIDUAL CIRCUMSTANCES AND IRS DECISIONS THAT ARE OUTSIDE OUR CONTROL.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BROKENTOY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.

BROKENTOY LLC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BROKENTOY LLC (ADMINISTRATIVE COORDINATION FEE ONLY) IN THE SIX MONTHS PRECEDING THE CLAIM.

BROKENTOY LLC IS NOT LIABLE FOR THE ACTS, OMISSIONS, OR PROFESSIONAL SERVICES OF ANY LICENSED PROFESSIONAL IN OUR NETWORK. PROFESSIONAL LIABILITY RESTS SOLELY WITH THE LICENSED PROFESSIONAL.

13. Indemnification

You agree to indemnify, defend, and hold harmless Brokentoy LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or the rights of any third party, or (d) any information you provide that is false, inaccurate, or misleading.

14. Dispute Resolution

Informal Resolution

Before initiating any formal dispute, you agree to contact Brokentoy LLC at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Arbitration

If informal resolution is unsuccessful, disputes arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS under its applicable rules, rather than in court. The arbitration shall take place in California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

You agree that any dispute resolution will be conducted on an individual basis only and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief for intellectual property infringement or misappropriation of trade secrets.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. To the extent court action is permitted under these Terms, the parties consent to exclusive jurisdiction in the state and federal courts located in California.

16. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above. For active clients, we will provide notice via email. Your continued use of the Services after a change constitutes acceptance of the updated Terms. If you do not agree to updated Terms, discontinue use of the Services.
