1. Acceptance of Terms
By accessing or using the Tax Allstars website (taxallstars.com) or any services offered by Brokentoy LLC under the Tax Allstars brand (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.
These Terms constitute a legally binding agreement between you and Brokentoy LLC, a California limited liability company. Use of the Services by an organization means that organization agrees to these Terms on behalf of itself and all users accessing the Services under that account.
2. Services Description
Tax Allstars, operated by Brokentoy LLC, offers defined tax services delivered through qualified independent tax professionals. Depending on the written engagement, services may include:
- Intake collection and case file creation
- Clear instructions not to submit sensitive documents through this website
- Defining the service scope and client price
- Assigning qualified independent tax professionals
- Billing, scheduling, workflow, and client support
- Professional tax work described in a signed service order
- General educational information about IRS resolution options
Tax Allstars is not a CPA firm or law firm and does not claim those designations. Non-credentialed Tax Allstars personnel do not provide tax advice, prepare or sign returns, represent clients before tax agencies, or override professional judgment. Professional tax work is performed and controlled by the qualified independent professional assigned to the matter.
3. Website Information and Professional Advice
Website content and intake communications are general information, not tax, legal, accounting, or financial advice. Individual situations vary. Advice is provided only by the qualified professional assigned to a matter after the required engagement documents are completed and the relevant facts are reviewed.
Submitting an intake form does not create a client relationship, tax professional-client relationship, attorney-client relationship, or representation relationship. A paid service begins only after the applicable Tax Allstars client agreement and service order are completed.
4. Relationship with Licensed Professionals
Licensed professionals (Enrolled Agents, CPAs, and tax attorneys) who provide services through Tax Allstars are independent contractors or independent professional firms, not employees of Brokentoy LLC. Brokentoy LLC does not control their professional judgment, advice, or actions in providing tax services.
Your client agreement is with Brokentoy LLC d/b/a Tax Allstars. The assigned professional controls all professional tax advice, strategy, return positions, signing, filing, and representation within the scope of the service order. Tax Allstars manages the commercial relationship and administrative workflow but does not direct or override professional judgment.
Before assignment, Tax Allstars verifies credentials relevant to the work and reviews experience, availability, and insurance. An assigned professional may accept or decline a work order. No specific professional, timeline, tax result, agency decision, debt reduction, or collection outcome is guaranteed.
5. User Eligibility
The Services are available to individuals who are 18 years of age or older and who are seeking assistance with their personal or business federal tax matters. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and complete.
6. Intake Information and Data
By submitting an intake form or providing information through our Services, you represent that the information is true, accurate, and not misleading. You authorize Brokentoy LLC to store basic intake information and share it with a qualified tax professional when reasonably necessary to evaluate, assign, or perform the requested service, as described in our Privacy Policy.
Do not submit tax documents, Social Security numbers, passwords, bank information, or other sensitive records through this website.
You acknowledge that the intake form is an administrative intake tool only. Responses from Brokentoy LLC staff to your intake do not constitute tax advice. All tax-related questions will be directed to your assigned licensed professional.
7. Fees and Payment
The scope, client price, payment schedule, and any approved additional work will be stated in a written Tax Allstars service order, invoice, or client agreement before payment is collected. Clients pay Tax Allstars for contracted services. Tax Allstars separately compensates the assigned professional.
Tax Allstars does not accept funds intended to pay federal or state tax liabilities. Clients must pay those amounts directly to the applicable government agency through an approved payment method.
8. Refund and Cancellation Policy
Cancellation, refund, earned-fee, and nonrefundable-cost terms will be stated in the client agreement or service order applicable to the purchased service. Those written engagement terms control if they conflict with these general website Terms.
9. User Conduct
You agree not to use the Services to: (a) provide false or misleading information, (b) impersonate any person or entity, (c) engage in any fraudulent activity, (d) attempt to circumvent our security measures, (e) interfere with the Services or other users' access to the Services, or (f) use the Services for any unlawful purpose.
10. Intellectual Property
All content on the Tax Allstars website — including text, graphics, logos, design, and educational materials — is the property of Brokentoy LLC or its licensors and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Tax Allstars and the Tax Allstars logo are service marks of Brokentoy LLC. Brokentoy LLC is a registered California LLC.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BROKENTOY LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
BROKENTOY LLC MAKES NO WARRANTIES REGARDING THE QUALITY, ACCURACY, OR OUTCOME OF ANY LICENSED PROFESSIONAL'S SERVICES. TAX RESOLUTION OUTCOMES DEPEND ON INDIVIDUAL CIRCUMSTANCES AND IRS DECISIONS THAT ARE OUTSIDE OUR CONTROL.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BROKENTOY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.
BROKENTOY LLC'S TOTAL LIABILITY TO YOU FOR CLAIMS ARISING FROM WEBSITE USE WILL NOT EXCEED THE AMOUNT, IF ANY, YOU PAID TO BROKENTOY LLC FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM, TO THE EXTENT PERMITTED BY LAW.
Nothing in these Terms limits any right or responsibility that cannot lawfully be limited. Additional rights, duties, and allocation of responsibility may be stated in the applicable client agreement, service order, or required professional engagement document.
13. Indemnification
You agree to indemnify, defend, and hold harmless Brokentoy LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or the rights of any third party, or (d) any information you provide that is false, inaccurate, or misleading.
14. Dispute Resolution
Informal Resolution
Before initiating any formal dispute, you agree to contact Brokentoy LLC at team@taxallstars.com and attempt to resolve the dispute informally for at least 30 days.
Arbitration
If informal resolution is unsuccessful, disputes arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS under its applicable rules, rather than in court. The arbitration shall take place in California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
You agree that any dispute resolution will be conducted on an individual basis only and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Exceptions
Nothing in this section prevents either party from seeking injunctive or other equitable relief for intellectual property infringement or misappropriation of trade secrets.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. To the extent court action is permitted under these Terms, the parties consent to exclusive jurisdiction in the state and federal courts located in California.
16. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above. For active clients, we will provide notice via email. Your continued use of the Services after a change constitutes acceptance of the updated Terms. If you do not agree to updated Terms, discontinue use of the Services.
